Terms Of Service
Your entry or use of the website of Saudi Al-Dalu Company Limited for Information Technology AQ-IT your purchase of its software products or your activation of the automation and artificial intelligence systems developed by it is an explicit acknowledgment of agreement and complete commitment to the terms and conditions contained in this legal agreement
1. Scope and Technical Solutions
AQ-IT provides advanced software platforms and solutions in the business sector B2B including the development and engineering of automation systems smart conversation models based on artificial intelligence voice assistant and text bots and data integration and flow solutions designed to serve multiple sectors.
2. Intellectual Property and Systems Rights
৹ Exclusive Ownership: All source codes Source Code applications graphic interfaces designs training algorithms software modifications and trademarks developed or used by AQ-IT are absolute and exclusive intellectual property of the Company and protected under local regulations and international agreements for the protection of copyright and intellectual property
৹ Limited Use License: Upon entering a commercial agreement the Company grants the client a non-exclusive non-transferable and revocable license for the purpose of operating the system in conducting their internal business and in accordance with the limits of the contract
৹ Prohibitions and Software Breach: It is strictly prohibited for the client their employees or programmers affiliated with them to copy modify resell or lease the software or attempt to decompile Decompilation or apply reverse engineering Reverse Engineering to any part of the systems or the infrastructure of the Company
3. Obligations and Lawful Use
The client commits to using the technical systems and platforms for legitimate commercial purposes only and commits to the following
৹ Legality of Entered Data: The client bears full legal responsibility for ensuring that all client records number lists and sensitive data integrated or processed through our systems have been collected and obtained by legal methods fully compliant with the Saudi Personal Data Protection Law
৹ Prohibition of Misuse: It is prohibited to use the platforms to send random or intensive unwanted messages Spam that violate the regulations of the Communications and Space and Technology Commission and it is also prohibited to upload any files containing malicious software or attempt to conduct unauthorized penetration and vulnerability testing on the infrastructure and servers of the Company
৹ Security of Accounts and Keys: The client bears responsibility for maintaining the confidentiality of login data their employees’ accounts and secure API Tokens and all operations originating under these identifiers are their direct responsibility
4. Technical Support Services and Maintenance Contracts
৹ Exclusivity of Support: Technical support services fixing software defects and monitoring server stability security and periodic updates are provided exclusively under the existence of an active and valid maintenance and monitoring contract between the client and AQ-IT
৹ Exceptions: The Company is not committed to providing any free technical support reconfiguration of the system or adding new software features and modifying application characteristics outside the operational and financial scope specified explicitly in the approved Service Level Agreement SLA
5. The Company as a Data Processor
The client acknowledges and recognizes that the role of AQ-IT in the context of operating automation systems and smart assistants is the role of a Data Processor working based on the client’s directions while the client remains the Data Controller who is primarily responsible by law and regulations for determining the purpose of processing ensuring its legality and obtaining the approvals of their clients or patients and the Company’s responsibility is limited to securing the technical environment and executing contractual obligations
6. Disclaimer and Limitation of Liability
৹ Nature of Artificial Intelligence Solutions: Software solutions and smart assistants based on artificial intelligence are logistical and organizational tools aimed at facilitating and improving workflow Accordingly AQ-IT does not bear any legal، financial or civil responsibility taken by the client or their users based on the responses outputs and generation of the automated system
৹ Interruption of Third-Party Services: The Company disclaims its responsibility for any suspension or interruption in services resulting from a defect in the infrastructure of third parties such as the interruption of the global WhatsApp network the stoppage of hosted global cloud servers or the third-party tool provider making a sudden modification to their APIs
7. Account Suspension and Termination of Service
AQ-IT reserves the absolute right to suspend accounts or terminate the authority to access the system completely and permanently in the event that the client’s violation of any of these terms is proven or using the systems in a way that harms the security and stability of the network or in the event of failure to pay the financial and contractual entitlements agreed upon in the primary contract after notifying them of that
8. Applicable Law and Competent Jurisdiction
This Terms of Service agreement is subject to and is interpreted and executed in accordance with the regulations and laws applicable in the Kingdom of Saudi Arabia Any dispute or legal claim arising out of or relating to the use of these services shall be subject to the exclusive jurisdiction of the competent courts in the city of Jeddah Kingdom of Saudi Arabia
9. Amendment and Update
The Company retains the right to amend and update these terms of use at any time to keep pace with technical or regulatory changes and the client’s continued use of the platforms and services after the publication of amendments is considered explicit agreement and complete acceptance of the updated terms
